PITTSBURGH LOCAL SECTION OF
THE AMERICAN INDUSTRIAL HYGIENE ASSOCIATION BY-LAWS

The name of this organization shall be the Pittsburgh Local Section of the American Industrial Hygiene Association and hereinafter shall be designated as the Section.
ARTICLE II -- PURPOSE
The purpose of the Section shall be to:
ARTICLE Ill -- MEMBERSHIP
Section 1- Members ofthe American Industrial Hygiene Association may become members of the Section upon payment of the Section dues if they reside in the following geographical areas: Pennsylvania: counties of Allegheny, Armstrong, Beaver, Bedford, Blair, Bradford, Butler, Cambria, Cameron, Centre, Clarion, Clearfield, Clinton, Fayette, Fulton, Greene, Huntington, Indiana, Jefferson, Juniata, Lawrence, Lycoming, Mifflin, Potter, Somerset, Sullivan, Tioga, Union, Washington, and Westmoreland; Ohio: counties of Belmont, Carroll, Columbiana, Harrison, Jefferson, Noble, Stark, and Tuscarawas; West Virginia: counties of Barbour, Berkeley, Brooke, Grant, Hampshire, Hancock, Hardy, Jefferson, Marshall, Mineral, Monongalia, Morgan, Ohio, Pendleton, Preston, Randolph, Taylor, Tucker, Upshur, and Webster. Subject to approval by a two-thirds vote of the local section Executive Committee, any member of AIHA living outside the geographic boundaries of the local section may become a member of the local section. A member of AIHA may be a member of more than one local section.
Section 2 - Any person having a professional interest in industrial hygiene and is not a member of AIHA can become an associate member of the Section upon payment of the required dues and with the approval of two-thirds of the Executive Committee. Associate members shall be entitled to all of the privileges of Section membership except that of becoming an officer. Application to become an Associate shall be made in writing, on an application form to be specified by the Executive Committee. The applicant shall be sponsored by a Member or another Associate.
Section 3 - Emeritus membership may be granted to former Section members who have retired and reside within the geographical area served by the Section, with the approval of the Executive Committee. An Emeritus Member retains all privileges of a member of the Section, but will not be assessed local dues.
Section 4 - Student membership may be extended to full-time students attending area colleges or universities and majoring in Industrial Hygiene or allied professional curricula or otherwise expressing an interest in the profession.
Section 5 - Corporate memberships may be granted upon payment of the required dues and with the approval of two-thirds of the Executive Committee.
Section 6 - The Section may add additional classes of membership subject to approval of the Board of Directors of AIHA.
ARTICLE IV -- OFFICERS
Section 1- The Section officers shall be a President, President-Elect, Secretary and Treasurer. The President-Elect shall be elected annually and the Secretary and Treasurer bi-annually by the Section members. They shall serve until their successors are installed. Only members of AIHA may be elected as officers. No person shall serve as officer in more than one Local Section at the same time. An officer need not reside or work in the geographic boundaries of the Local Section.
The President-Elect shall automatically succeed the President when they have completed their respective terms of office.
The officers of the local section shall be elected by ballot for terms of office as hereinafter provided, which terms shall begin and end on the date of the annual meeting. Each officer shall hold office until a successor shall have been duly elected or until death, resignation, or removal. The local section shall give notice of the names and addresses of the newly elected officers to AIHA within 30 days of such election.
Section 2 - The President and President-Elect shall serve a one-year term unless a successor is elected and installed at a special election.
Section 3 - The Secretary and Treasurer shall serve a two-year term.
Section 4 - Two elective Directors shall be chosen by vote of the membership for a term of two years. One Director shall be elected each year.
Section 5 - Ballots shall be prepared and sent to the membership before February 1of each year. These ballots must be returned before March 15 to be valid. The ballots shall be counted by the Treasurer and another Teller appointed by the President. The results of the election shall be sent to the membership before the annual business meeting.
Section 6 - In the event of a vacancy in the Office of President, the President-Elect shall fill this vacancy. Any vacancy in the Office of President-Elect shall be filled by a special election called by the Executive Committee. In addition to filling the Office created by the vacancy, the officer shall serve the term for which normal succession would have been in effect.
Section 7 - Should there be a vacancy in the Office of Secretary, Treasurer or Director, the Executive Committee may make an appointment or may provide for a special election to fill the vacancy.
Section 8 - The President shall preside at all meetings of the Section and of the Executive Committee and shall perform such duties as may be directed by the Executive Committee. In the President's absence, the succeeding order of officers shall preside. The President should keep in contact with developments in the field of industrial hygiene and guide the Section in the formulation of constructive activities. The President shall appoint a Program Committee, Nominating Committee and such other committees as the Executive Committee may deem necessary for the orderly function of the Local Section. The President shall appoint members of the committees. All committee appointments shall be for a one-year term. The President shall be an ex-officio member of all committees.
Section 9 - The President-Elect shall perform any duties delegated by the Executive Committee or assigned by the President. The President-Elect automatically shall succeed the President in office upon completion of the President's term of office. The President-Elect shall be designated as the chairperson of the Program Committee. The Program Committee will complete arrangements for speakers and for meeting places and provide the Secretary with the program. The Secretary will then advise the membership of the planned programs.
Section 10 - The Secretary shall give notice of all meetings of the local section and the Executive Committee; maintain an accurate list of the members and their membership status; record and maintain the minutes of each Section and Executive Committee meetings, keep a record of the transaction of business that may come before such meetings ,coordinate Section mailing and correspondence, and maintain the Section By-Laws and official records of the Section.
Section 11- The Treasurer shall receive, disburse, and be the custodian of all monies due the Section and shall pay all authorized bills against the Section. The disbursement of all funds for the Section shall be made upon the authorization of the Executive Committee. The Treasurer shall prepare a preliminary annual financial report and submit the accounts for audit at the last meeting ofthe Executive Committee prior to the Fall Business Meeting of the Section and shall transmit to the successor in office all funds and property of the Section in their possession. An annual financial report shall be submitted to the Section in such form as may be determined by the Executive Committee.
Section 12 - An officer may resign by oral tender of resignation at any meeting of the executive committee, or by giving written notice thereof to the executive committee. Such resignation shall take effect at the time specified and acceptance of such resignation shall not be necessary to make it effective.
Section 13 - An officer may be removed with or without cause, at a meeting expressly called for that purpose, by a majority vote of the executive committee. An officer may be removed, with or without cause, at a meeting expressly called for that purpose, by a two-thirds (2/3) vote of the Executive Committee.
ARTICLE V - DIRECTORS
Section 1 - Except as these Bylaws may require that action shall be otherwise authorized or taken, all authority of the Association shall be exercised by its Executive Committee.
Section 2 - The Executive Committee shall consist of the at-large directors and the officers. Any member of the local section in good standing may be eligible to serve on the Executive Committee of the local section.
Section 3 - The directors of the local section shall be elected by ballot as hereinafter provided, for two year staggered terms, with an equal number of at-large directors elected each year. The term of office of directors shall begin and end on the date of the annual meeting. Each director shall hold office until a successor shall have been duly elected or until death, resignation, or removal.
Section 4 - A director may resign at any time, either by oral tender of resignation at any meeting of the Executive Committee or by giving written notice thereof to the Secretary. Such resignation shall take effect at the time specified and acceptance of such resignation shall not be necessary to make it effective.
Section 5 - The Executive Committee may, by a vote of two-thirds (2/3) of its members, remove any director at a meeting expressly called for that purpose.
Section 6 - The vacancy in office of any director may be filled by vote of the Executive Committee. A director elected to fill such vacancy shall be elected to the unexpired term of the predecessor in office.
Section 7 - The Executive Committee shall hold meetings at least twice a year . Meetings may be held in person or by some other means where each officer and director can communicate with all other officers and directors. Notice of the time and place of each meeting of the Executive Committee shall be given not less than five (S) before the date of the meeting, which notice need not specify the purpose of the meeting.
Section 8 - The presence of a majority of the Executive Committee is necessary to constitute a quorum of a meeting. The act of a majority present at a meeting at which a quorum exists is the act of the Executive Committee. Each member of the Executive Committee shall be entitled to one vote. Proxy voting shall not be permitted for any purpose.
ARTICLE VI -- COMMITIEES
Section 1- The Executive Committee shall consist of the officers of the Local Section, immediate Past President and the two elected directors. The executive committee shall be responsible for governance and management of the Local Section and approval of new members. The President shall serve as Chairman of the Executive Committee. The presence of a majority of the Executive Committee is necessary to constituent a quorum for a meeting. The act of a majority present at a meeting at which a quorum exists is the act of the Executive Committee. Each member of the Executive Committee shall be entitled to one vote. Meetings of the Executive Committee may be called at the discretion of the President on not less than five (S) days notice.
Section 2 - The Program Committee shall consist of not less than three (3) members. The President Elect shall serve as its Chairman. The Program Committee shall present a tentative schedule of programs for the year to the Executive Committee for its approval. On approval of the Executive Committee, the Program Committee will implement arrangements for the programs and provide the Secretary with the information to be circulated to the members of the Local Section.
Section 3 - The Nominating Committee shall consist of two (2) members appointed by the President within two months following installation of officers and the immediate Past-President who will serve as chair. The Nominating Committee shall nominate candidates for eac elective office to be filled and shall deliver its nominations for each office to the Secretary for circulation before February 1.
Section 4 - The President shall appoint all other committee chairpersons, as required by the By-Laws, and shall automatically become an ex-officio member of such committees.
Section 5 - Members of all appointed committees shall serve at the pleasure of the incoming President.
ARTICLE VII -- LOCAL SECTIONS COUNCIL REPRESENTATIVES
Section 1- The President and President-Elect shall serve as representatives of the Local Section on the Local Sections Council of AIHA provided that neither is an officer or director of AIHA, in which event, the Executive Committee shall appoint another member as such representative. In the event that neither the President or the President-Elect is unable to attend the Annual Meeting or is an officer or member of the Board of Directors of the American Industrial Hygiene Association, the ex-officio Local Section Council representative shall be the Secretary or Treasurer, to be appointed by the President.
Section 2 - The representatives of the Local Section shall report at the Annual Meeting of the Local Sections Council on the activities ofthe Local Section and report back to the Local Section on the actions of the Local Sections Council.
ARTICLE VIII -- MEETINGS
Section 1- Meetings shall be held at least three times per Section year, one of which shall be the Annual Business Meeting. The time and place of meetings, including the Business Meeting shall be established by the Program Committee.
Section 2 - Installation of the newly elected officers shall take place at the Annual Business Meeting.
Section 3 - Special meetings may be called by the President at any time, with the approval of the Executive Committee or the presentation of a petition to the President, signed by 20% of the members of the Local Section in good standing.
Section 4 - Members in good standing shall be notified of all meetings at least ten (10) days in advance of the date set for the meeting.
Section 5 - A quorum shall consist of 20% of the Section members in good standing.
Section 6 - Executive Committee meetings shall be held at the discretion of the President at any time during the year, provided notice of at least five (5) days is given.
ARTICLE IX -- PUBLIC STATEMENTS
Section 1- Before the Section publishes or otherwise issues publicly any statement upon a policy matter which purports to represent the opinion of the American Industrial Hygiene Association, it must obtain consent of the Board of Directors of the Association.
Section 2 - No public statement on any matter, which purports to represent the opinion of the Local Section, shall be issued or published, unless that statement has been authorized by the Executive Committee as expressing the opinion of a majority of the members of the Local Section
ARTICLE X -- DUES
Section 1- Annual dues for Local Section membership become payable on the first day of January of each year. The dues per year shall be set by the Executive Committee and approved in accordance with the procedure set forth in Article X.
Section 2 - Members accepted for membership between January and June shall pay dues for a full year. Members accepted for membership between July and December shall pay dues for one-half of the year.
Section 3 - Any member whose dues are unpaid on March 1is not in good standing and shall have no vote or other privileges of membership in the Local Section. If the dues of any member are not paid within one year of the due date, the membership of the member in the Local Section shall be terminated subject to reinstatement as provided in Section 4.
Section 4 - Any member terminated for non-payment of dues may be reinstated at any time before the next Annual Business Meeting of the year following termination, by payment of dues in arrears together with the dues for the current year.
Section 5 - Student members shall not be required to pay the annual dues during which they are in full time academic study programs.
Section 6 - Corporate memberships may be offered to member organizations and be renewable on an annual basis.
Section 7 - Members who have retired from active practice and are in good standing with the Local Section shall not be required to pay the annual dues.
ARTICLE XI -- ELECTION BALLOTS
Section 1- Officers of the Local Section shall be elected by electronic or postal mail ballot of the voting members of the Local Section distributed by February 1. The ballots shall specific a deadline of March 15 for return. The President shall promptly report the results of the election to the Executive Director of AIHA.
Section 2 - The Executive Committee, at any time, may conduct by ballot, a referendum of the membership of the Local Section in connection with an issue it may consider or action to be taken. Except as provided in Article XI, a plurality of the ballots cast in an election of any officer or in a referendum on any issue to be considered or action to be taken shall be effective to constitute the election of a person as an officer of the Local Section and as a decision or act of the Local Section with respect to any issue to be considered or any action to be taken. In the event of a tie vote in any such ballot, the tie shall be resolved by vote of the Executive Committee.
ARTICLE XII -- AMENDMENTS
Section 1- Amendments to these By-Laws may be presented by any member in good standing at any regular meeting of the Section or at any special meeting called for that specific purpose. They shall be presented in writing and shall be offered to the membership present at that meeting on motion for consideration and circulation to the membership. A simple majority shall be necessary to pass the motion. Amendments accepted for future consideration and circulation shall be sent to all members in good standing. A two-thirds affirmative vote of the ballots returned within 30 days shall be necessary for adoption of any amendment.

Section 1- Before the Section publishes or otherwise issues publicly any statement upon a policy matter which purports to represent the opinion of the American Industrial Hygiene Association, it must obtain consent of the Board of Directors of the Association.
Section 2 - No public statement on any matter, which purports to represent the opinion of the Local Section, shall be issued or published, unless that statement has been authorized by the Executive Committee as expressing the opinion of a majority of the members of the Local Section
ARTICLE X -- DUES
Section 1- Annual dues for Local Section membership become payable on the first day of January of each year. The dues per year shall be set by the Executive Committee and approved in accordance with the procedure set forth in Article X.
Section 2 - Members accepted for membership between January and June shall pay dues for a full year. Members accepted for membership between July and December shall pay dues for one-half of the year.
Section 3 - Any member whose dues are unpaid on March 1is not in good standing and shall have no vote or other privileges of membership in the Local Section. If the dues of any member are not paid within one year of the due date, the membership of the member in the Local Section shall be terminated subject to reinstatement as provided in Section 4.
Section 4 - Any member terminated for non-payment of dues may be reinstated at any time before the next Annual Business Meeting of the year following termination, by payment of dues in arrears together with the dues for the current year.
Section 5 - Student members shall not be required to pay the annual dues during which they are in full time academic study programs.
Section 6 - Corporate memberships may be offered to member organizations and be renewable on an annual basis.
Section 7 - Members who have retired from active practice and are in good standing with the Local Section shall not be required to pay the annual dues.
ARTICLE XI -- ELECTION BALLOTS
Section 1- Officers of the Local Section shall be elected by electronic or postal mail ballot of the voting members of the Local Section distributed by February 1. The ballots shall specific a deadline of March 15 for return. The President shall promptly report the results of the election to the Executive Director of AIHA.
Section 2 - The Executive Committee, at any time, may conduct by ballot, a referendum of the membership of the Local Section in connection with an issue it may consider or action to be taken. Except as provided in Article XI, a plurality of the ballots cast in an election of any officer or in a referendum on any issue to be considered or action to be taken shall be effective to constitute the election of a person as an officer of the Local Section and as a decision or act of the Local Section with respect to any issue to be considered or any action to be taken. In the event of a tie vote in any such ballot, the tie shall be resolved by vote of the Executive Committee.
ARTICLE XII -- AMENDMENTS
Section 1- Amendments to these By-Laws may be presented by any member in good standing at any regular meeting of the Section or at any special meeting called for that specific purpose. They shall be presented in writing and shall be offered to the membership present at that meeting on motion for consideration and circulation to the membership. A simple majority shall be necessary to pass the motion. Amendments accepted for future consideration and circulation shall be sent to all members in good standing. A two-thirds affirmative vote of the ballots returned within 30 days shall be necessary for adoption of any amendment.
